Service Agreement

1. Services Overview

Zavenue LLC ("Zavenue", "we", "us", or "our") provides e-commerce analytics, Shopify development services, custom AI solutions, and related professional services (collectively, the "Services"). This Service Agreement governs your use of our Services.

2. Service Scope

Our Services include but are not limited to:

  • Shopify App Development and Integration
  • Shopify Theme Development and Customization
  • E-commerce Analytics and Business Intelligence
  • Custom AI SaaS Development
  • Ad Campaign Management and Optimization
  • Shopify Store Setup and Development

Specific service deliverables, timelines, and pricing will be outlined in individual project proposals or statements of work.

3. Client Responsibilities

To ensure successful service delivery, clients agree to:

  • Provide timely access to necessary systems, data, and resources
  • Respond to requests for information within agreed-upon timeframes
  • Designate a point of contact for project communications
  • Review and approve deliverables in a timely manner
  • Make timely payments according to the agreed payment schedule

4. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • An initial deposit may be required before work commences
  • Invoices are due within 30 days of issuance unless otherwise specified
  • Late payments may incur interest charges
  • Services may be suspended for accounts with overdue balances

5. Intellectual Property

Upon full payment, clients will receive ownership rights to custom deliverables created specifically for their project. Zavenue retains ownership of:

  • Pre-existing tools, frameworks, and methodologies
  • General knowledge and techniques
  • Any modifications to our proprietary platforms

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive business information shared during the course of service delivery. This obligation continues for three (3) years after service completion.

7. Service Level and Support

We strive to provide high-quality services and support. Specific service level agreements (SLAs) and support terms will be outlined in individual project agreements.

8. Warranty and Limitations

We warrant that services will be performed in a professional manner consistent with industry standards. However, we do not guarantee specific business outcomes or results. Our liability is limited to the fees paid for the specific service in question.

9. Termination

Either party may terminate services with written notice. Client remains responsible for payment of services rendered up to the termination date. Specific termination terms will be outlined in individual project agreements.

10. Modifications

We reserve the right to modify this Service Agreement. Material changes will be communicated to active clients. Continued use of services after changes constitutes acceptance.
